If you do not agree to these terms, you may not access or use the Service. These terms apply to all users, including clinic owners, administrators, doctors, and staff members.

2. Description of Service

ClinicPro is a cloud-based clinic management platform that provides tools for appointment scheduling, patient record management, billing, reporting, staff management, and related administrative functions for healthcare practices. The Service is provided on a subscription basis.

3. Account Registration and Security

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and accept responsibility for all activity under your account
• Notify us immediately of any unauthorised use of your account
• Not share your login credentials with any third party
• Comply with any forced password change requirements enforced by the platform

4. Authorised Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable local, national, or international law or regulation
• Attempt to gain unauthorised access to any part of the Service or its related systems
• Transmit any unsolicited or unauthorised advertising or promotional material
• Introduce viruses, trojans, worms, or other malicious or harmful material
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service without written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

5. Patient Data and Healthcare Compliance

You are solely responsible for ensuring that your use of the Service complies with all applicable healthcare privacy laws and regulations in your jurisdiction, including but not limited to laws governing the collection, storage, and processing of patient health information. ClinicPro provides technical controls to support compliance but does not guarantee compliance with any specific regulatory framework. You must obtain all necessary consents from patients before entering their data into the platform.

6. Data Ownership

You retain ownership of all data you enter into the Service, including patient records, appointment data, and financial records ("Your Data"). You grant ClinicPro a limited licence to store, process, and display Your Data solely for the purpose of providing the Service to you. We will not use Your Data for any other purpose without your explicit consent.

7. Subscription and Payment

Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to change subscription fees upon 30 days' written notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of ClinicPro and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licence to use it as described herein.

9. Availability and Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, emergency repairs, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance where practicable.

10. Limitation of Liability

To the fullest extent permitted by applicable law, ClinicPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ClinicPro does not warrant that the Service will be error-free, secure, or continuously available.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Service will immediately cease. You may export your data prior to termination. We will retain your data for 30 days following termination, after which it may be permanently deleted.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
